Job Description

We are looking for a qualified and detail-oriented Company Secretary (CS) to ensure our company complies with statutory and regulatory requirements. The CS will play a key role in governance, legal compliance, and administrative support to the board of directors and senior management.

· Ensure compliance with Companies Act,FEMA, and other applicable laws.

· Organize and prepare agendas and papers for board meetings, committees, and AGMs.

· Draft minutes of meetings, resolutions, and legal documents.

· Maintain statutory registers, records, and filing of annual returns with MCA.

· Liaise with external regulators and advisors such as ROC, SEBI, stock exchanges, and legal consultants.

· Ensure timely filing of forms, returns, and documents with various regulatory authorities.

· Monitor changes in relevant legislation and regulatory environment and advise management.

· Handle corporate governance matters, secretarial audits, and risk assessments.

· Support the legal and finance teams in drafting agreements, contracts, and M&A activities.

· Manage shareholder relations, share transfers, and dividend distribution processes.

· Strong knowledge of corporate laws, SEBI guidelines, and regulatory requirements.

· Excellent written and verbal communication skills.

· Good analytical and problem-solving abilities.

· High level of integrity and professional ethics.

· Proficiency in MS Office and compliance software (like MCA portal, ROC filings, etc.).

Attention to detail and ability to handle confidential information.

Qualification:

· Qualified Company Secretary.

· LLB or other legal qualification.

· 2–5 years of relevant post-qualification experience.
